The www.paklaunch.com website, associated social media accounts and applications (Platform) are operated by Paklaunch (Private) Limited, a private limited company registered in Pakistan (hereinafter referred to as Paklaunch, We, Us or Our).

These terms and conditions govern your use of the Platform (Terms).

By using the Platform or interacting with it in any form or manner, you acknowledge and agree to be bound by these Terms. You acknowledge and agree that Paklaunch reserves the right, in its sole discretion, to modify these Terms at any time without prior notice and that your continued interaction with the Platform would be sufficient acknowledgment of your acceptance of such amendments to the Terms. If any material changes are made to the Terms, Paklaunch will aim to notify you as soon as possible if you have registered on the Platform and provided a valid email address.

You should read these Terms carefully before using the Platform and your use of or interaction with the Platform in any manner indicates your acceptance of the Terms. If you do not agree with the Terms, you must not use or interact with the Platform. You acknowledge and agree that the Terms shall be enforceable by Paklaunch against you in the same manner as a written agreement between you and Paklaunch.

You acknowledge and agree that you have the capacity, due authority and right to accept these Terms on your behalf and that of any entity that you may represent in relation to your use of the Platform and that such use shall not be in breach of any contractual terms or laws that may be applicable to you or to an entity being represented by you.

Paklaunch Platform

The Platform serves as a conduit for investors, start-ups and professionals (whether as mentors, service providers or employment seekers) to create awareness of their respective interests, objectives and achievements, build new connections in the growing start-up ecosystem in Pakistan and share relevant experiences with the Paklaunch community.

The Platform does not provide professional investment or employment advice or investment management or manpower recruitment related services. The Platform is also not an advertising or marketing tool or interface.

You acknowledge and agree that the Platform is not an investment portal and that any decision by users registered on the Platform to invest in a start-up or to receive investment by a start-up shall be the individual decision of each party which must be taken after proper due diligence and with professional advice regarding the legal and financial risks associated with such decision and independent of the operations of the Platform.

You acknowledge and agree that the Platform is not a recruitment services provider and that each prospective employee or employer using the Platform to identify potential employers or employees shall do so on their own at their risk and conduct necessary due diligence on the other party.

You acknowledge and agree that you will not use the Platform for any purpose or in any manner that would be considered illegal under the laws of Pakistan. If you access the Platform from outside Pakistan, you do so at your own risk and must consider the laws and regulations of the location from which you are accessing the Platform.

Registered Users

You can use and access the Platform as a registered user or, in a limited form, as an unregistered user. If you register an account on the Platform, you agree and undertake to submit complete and accurate information about yourself and any entity that you seek to highlight on the Platform.

Information

You acknowledge and confirm that you will not share any information on the Platform that should not be posted on the Platform under the laws of Pakistan (or the laws of the country of your incorporation).

You acknowledge and agree that you will not share any information on the Platform that could cause reputational or economic damage or harm of Paklaunch or any other registered user or any other party.

You acknowledge and agree that the information posted on the Platform by other users or any external information or links cited by the Platform is not the responsibility of the Platform and that you will exercise due care in accessing such information and using or accessing external links or websites that may be mentioned by the Platform or a user and shall do so entirely at your own risk and based on your own judgment and decision.

You agree that the information on the Platform is provided on an ‘as is’ and ‘as available’ basis without any explicit or implied warranties or representations by Paklaunch except as may be specifically mentioned in writing.

The Platform or Paklaunch does not undertake any independent verification of registered users, whether they are investors, start-ups or professionals or the information provided by them and it shall be your responsibility to undertake any required legal, financial, technical or reputational due diligence in relation to another registered user if you wish to interact with such user.

You acknowledge and agree that the information contained on the Platform is provided for general information only and should not be used for making investment or employment decisions which should only be made after taking proper professional advice from your advisors. Paklaunch makes no representation or warranty, whether express, implied or statutory regarding the information available on the Platform.

Registration Requirements

If registering as an investor on the Platform, you undertake and confirm that you are allowed, under applicable laws, to share your information on the Platform and interact with other users on the Platform without being in breach of any laws applicable to your country of incorporation and Pakistan. Paklaunch may at any time, in its complete discretion, restrict the registration of an investor to users meeting a certain criterion to be notified by Paklaunch from time to time.

If registering as a start-up on the Platform, you undertake and confirm that you are allowed, under applicable laws, to share your information on the Platform and interact with other users on the Platform without being in breach of any laws applicable to your country of incorporation and Pakistan. Paklaunch may at any time, in its complete discretion, restrict the registration of start-ups to only those meeting a certain criterion to be notified by Paklaunch from time to time.

If registering as a professional on the Platform, you undertake and confirm that you are allowed, under applicable laws, to share your information on the Platform and interact with other users on the Platform without being in breach of any applicable laws. Paklaunch may at any time, in its complete discretion, restrict the registration of professionals to only those meeting a certain criterion to be notified by Paklaunch from time to time.

Additional Services and Features

Paklaunch may introduce additional services or features in relation to the Platform and you acknowledge and agree to accept any amendments to the Terms in this respect.

Harassment & Inappropriate Behaviour

Paklaunch is committed to providing a community environment that is free from all forms of discrimination and conduct that can be considered harassing, coercive, or disruptive, including sexual harassment.

Actions, words, jokes, or comments based on an individual’s sex, race, color, national origin, age, religion, disability, sexual orientation, gender identity, or any other legally protected characteristic will not be tolerated.

Such conduct is strictly prohibited within the Paklaunch community and may result in disciplinary action, up to and including exclusion from the Paklaunch community platforms or even legal action.

As a community, our shared values of tolerance, respect, cooperation and commitment must be reflected in our interactions with each other.

Members of the Paklaunch community are expected to respect cultures, opinions and thinking that differ from their own. Some offensive behaviour can also be viewed as harassment or discrimination.

In the event that you witness any behaviour or statement that is not in compliance with the above mentioned code of conduct, you can report it to Paklaunch at [email protected].

Additional Terms and Conditions

You acknowledge and agree that you may be required to agree to additional terms and conditions for the use of the Platform or in connection with certain specific features of the Platform.

Intellectual Property

You acknowledge and agree that any and all intellectual property, whether registered or not, used or published on the Platform in any form, is the sole ownership of Paklaunch and that you or any other party shall have no right to use such intellectual property without the prior written permission of Paklaunch.

In relation to any information submitted by you to the Platform or Paklaunch, you hereby grant to Paklaunch a worldwide, royalty-free, perpetual, irrevocable, sub-licensable right and license to use such information or material for any purpose it deems appropriate, including without limitation, the copying, modification, transmission, distribution and publication thereof, unless restricted by applicable law. You represent and warrant that such information submitted by you does not infringe the rights of any other third party.

Notifications and Emails

You acknowledge and agree that if you have registered on the Platform and provided an email address, Paklaunch can send you emails, notifications and electronic newsletters and other material related to the Platform’s activities on that email address. If you wish to stop receiving such emails, then you can follow the process mentioned in such emails or the link provided therein to unsubscribe from the Platform’s mailing list.

Privacy Policy

You acknowledge and agree that your use of the Platform is subject to the Platform’s privacy policy which is an integral part of the Terms and is available at: https://www.paklaunch.com/privacy-policy/.

No Agency or Partnership

You acknowledge and agree that nothing mentioned on the Platform creates any agency, partnership, employment or other relationship between PakLaunch or you or any other user of the Platform.

You acknowledge that any posts by the Platform regarding any investor, start-up or professional are for the purposes of creating awareness and no post is an endorsement by Paklaunch and that each party must conduct their own independent verification and due diligence before relying upon the information for any purpose.

Limitation of Liability and Indemnity

Paklaunch shall not be liable for any act or omission by you or any other user of the Platform.

You agree that Paklaunch does not accept any liability for any loss or damage (including any special, incidental or consequential loss or damage) arising directly or indirectly from your or another party’s use of the Platform in any manner whatsoever.

You agree and undertake to indemnify and hold Paklaunch harmless from any actions, claims, demands, suits, penalties, fines, costs, interest and other expenses (including legal fees and any administrative or dispute resolution costs) arising from or in connection with your use of the Platform or as a result of any breach of the Terms or applicable laws by you.

Severability and No Waiver

Every effort has been made to ensure that each provision of the Terms is in accordance with the applicable laws. However, the invalidity or unenforceability of any part of the Terms shall not prejudice or affect the validity or enforceability of the remainder of the Terms.

Any delay by Paklaunch in exercising or non-exercise of any right or remedy by Paklaunch shall not constitute a waiver of that right or remedy, or any other right or remedy.

Termination

You acknowledge that Paklaunch, at its sole discretion, may terminate this arrangement, your access to the Platform or any feature or service offered by the Platform without assigning any reasons and without providing any notice.

If such termination is a result of a breach by you of the Terms or applicable laws, then Paklaunch reserves the right to commence legal proceedings against you as well.

Governing Law and Dispute Resolution

The Terms shall be governed by the laws of Pakistan.

Any dispute arising from or in connection with the Terms shall first be notified to Paklaunch at [email protected] or by Paklaunch through this email address and the aggrieved parties shall, in the first instance, attempt to resolve such disputes or differences through amicable discussions within 15 days from the date on which such dispute is notified to Paklaunch or notified to a party by Paklaunch.

If the parties to a dispute are unable to resolve the dispute amicably within the above-mentioned period then the dispute shall be finally resolved by arbitration by a sole arbitrator under the Arbitration Act 1940 of Pakistan.

Nothing mentioned herein shall prevent Paklaunch from seeking an interim injunction or similar relief from the Courts in Pakistan or any other jurisdiction.
